The Practice Inc. Terms of Service and Studio Policies

1.  Introduction and acceptance

These Terms of Service (the “Terms”) govern access to and use of services offered by The Practice Inc. at 360 Davenport Road, Toronto (the “Studio”), through our website at https://thepracticetoronto.com, and through our booking and payment platform (collectively, the “Services”). By creating an account, booking a class or session, purchasing a membership, class pack, daily pass, retail item, café item, or event ticket, you accept and agree to be bound by these Terms and by our Privacy Policy.

These Terms form a binding agreement between you and The Practice Inc. If you do not agree to these Terms, you may not use the Services.

2.  Eligibility, accounts, and booking

2.1  Eligibility. You must be at least 18 years of age to create an account and purchase Services in your own name. Individuals under 18 may participate in Services only with the prior written consent of a parent or legal guardian, who accepts these Terms on the minor’s behalf and signs the applicable waiver.

2.2  Accuracy of information. You agree to provide accurate, current, and complete information on registration, and to keep your account information updated. You are responsible for activity on your account and for keeping your credentials secure.

2.3  Booking creates a contract. When you book a class, session, event, or other Service through our platform, you enter into a contract with The Practice Inc. for that Service, subject to these Terms and any additional terms presented at the time of booking. Payment authorizations are processed at the time of booking unless otherwise noted.

2.4  Waivers and forms. You must complete the applicable waiver, intake, health screening, or consent form before the first time you participate in the relevant Service. Re-attestation may be required from time to time through the booking flow, and is required if your health status materially changes.

3.  Pricing, payment, and taxes

3.1  Pricing. Current prices for all Services are posted on our platform and at the Studio. We may update prices from time to time. The price applicable to a booking is the price displayed at the time of booking confirmation.

3.2  Payment. Payment is required at the time of booking or purchase, unless otherwise specified. We accept payment by the methods identified on the platform. You authorize The Practice Inc. and our payment processor to charge your saved payment method for amounts you owe.

3.3  Taxes. All prices are exclusive of applicable taxes unless otherwise stated. Taxes will be added at checkout.

3.4  Failed payments. If a payment cannot be processed, we may pause access to the corresponding Service until the issue is resolved. We may also retry payment authorization in accordance with applicable payment-network rules.

4.  Memberships

Memberships provide recurring access to selected Services on the terms described in your membership tier. The following terms apply to all memberships.

4.1  Recurring billing. Memberships are billed automatically on a recurring monthly basis through your saved payment method, beginning on the date of sign-up and continuing on each billing date thereafter, until cancelled in accordance with these Terms.

4.2  Membership benefits. Each membership tier includes the benefits described at sign-up, which may include class allocations, booking access, member pricing, discounts, or other features. Benefits are personal to the member and are not transferable, unless expressly stated. Unused monthly benefits expire at the end of the billing period and are not refundable, transferable, or carried forward.

4.3  Statutory disclosure (Ontario Consumer Protection Act, 2002). Memberships providing access to physical conditioning (including yoga, breathwork, sound healing, and similar group classes) are personal development services agreements under Part IV of the Consumer Protection Act, 2002 (Ontario). Your membership agreement sets out your rights in full. The following is a summary for your reference. Where this Section differs from your membership agreement, your membership agreement governs.

  • Cooling-off period. You may cancel your membership agreement, at no cost or penalty, at any time during the period ending 10 days after the later of the day you receive a written copy of the agreement and the day all the services under it become available. We will refund all payments made under the agreement within 15 days.
  • Maximum term. A personal development services agreement cannot be enforced beyond one year from the day all the services are made available to you. Memberships with a six or twelve month commitment period run for that period and then continue on a month-to-month basis. Memberships without a commitment period run on a month-to-month basis from the start. In each case, continuation is by your non-cancellation and continued payment.
  • Non-renewal. You may notify us at any time before the end of your commitment period, or before the end of the then-current billing period where your membership is month-to-month, that you do not wish to renew. Your membership then ends at the end of that period and you are not billed for any period after it.
  • Medical hardship. Your membership agreement allows you to cancel at any time on providing a certificate signed by a qualified physician confirming a medical condition that prevents you from using the Services. This is a contractual right granted by The Practice Inc. and is not a statutory right. Requests to cancel during a commitment period on any other ground, including relocation or a change in your personal or professional circumstances, are considered on a case-by-case basis and are not a right under your membership agreement.
  • Cancellation outside a commitment period. Where your membership is not within a commitment period, you may cancel at any time. Cancellation takes effect at the end of the then-current billing period. Payments already processed for that period are non-refundable, and you may continue using membership benefits until the end of the period.

4.4  Pricing or benefit changes. We may update membership pricing, benefits, or terms with at least 30 days’ written notice to members. If you do not accept the change, you may cancel your membership without penalty before the change takes effect.

4.5  Suspension or termination for cause. We may suspend or terminate a membership for misuse of benefits, repeated breach of these Terms, harassment, unsafe conduct, or behaviour that disrupts staff, practitioners, clients, or the Studio environment. Where possible we will provide notice and an opportunity to address the conduct; in serious cases we may terminate immediately. No refund will be issued in respect of the period after termination.

5.  Class packs and daily passes

5.1  Class packs. Class packs entitle you to a fixed number of class credits redeemable on the platform. Credits in a class pack are personal to the purchaser, are non-transferable unless we expressly agree, and expire on the earlier of (i) full redemption or (ii) the expiry date stated at the time of purchase. Unused credits expire without refund.

5.2  Daily passes. Daily passes entitle you to use the Services described at the time of purchase on the date of the pass, subject to availability and to the operating hours of the Studio. Unused portions of a daily pass are not refundable, transferable, or carried forward.

5.3  Statutory disclosure (Ontario Consumer Protection Act, 2002). Where a class pack provides access to physical conditioning Services described in Section 4.3, the rights described in that Section apply, on a pro-rated basis for unused credits, subject to the Act.

6.  Group classes

6.1  Booking and arrival. All classes must be booked in advance through the platform. Clients should arrive at least 10 minutes before class begins. Doors may close 2 minutes after the scheduled start time, after which late entry may not be permitted at the discretion of the instructor.

6.2  Cancellation window. A booking for a group class or a Device session may be cancelled or modified without penalty up to 12 hours before the scheduled start time (the “Cancellation Window”). A cancellation made less than 12 hours before the scheduled start time is a “Late Cancellation”. Failure to attend a booked class or Device session without cancelling is a “No-Show”. The consequences of a Late Cancellation or No-Show depend on the product used to make the booking, as set out in Sections 6.3 to 6.5. These Sections apply equally to group classes and to Device sessions under Section 8.

6.3  Unlimited memberships. This Section applies to members enrolled in a membership that includes unlimited group classes or unlimited Device sessions (“Unlimited Members”). On a Late Cancellation or No-Show, The Practice may charge a late cancellation and no-show fee (the “Unlimited Late Fee”). The Unlimited Late Fee is currently CAD $18 per occurrence, subject to change in accordance with The Practice’s then-current pricing. The Unlimited Late Fee is charged in addition to membership dues, is exclusive of applicable taxes, is charged to the payment method on file, and is non-refundable.

6.4  Memberships with a set number of classes or sessions. This Section applies to members enrolled in a membership that includes a set number of group classes or Device sessions per membership month. On a Late Cancellation or No-Show, the booking is forfeited and counted as used against the member’s allocation for that membership month. No late cancellation or no-show fee is charged.

6.5  Drop-in classes and class packs. This Section applies to single class or session purchases (“Drop-In Classes”) and prepaid class packs (together, “Class Credits”). On a Late Cancellation or No-Show, the associated Class Credit is forfeited in full and no refund or replacement credit is provided. No additional late cancellation or no-show fee is charged.

6.6  Late arrival. Late arrival does not extend the class and does not qualify for a refund, credit, or return of a class allocation.

6.7  Conduct. Disruptive, unsafe, or disrespectful behaviour may result in removal from class without refund, credit, or return of class allocation.

7.  Practitioner-led sessions

This Section applies to individual, practitioner-led services delivered by The Practice Inc., including life coaching, career coaching, private yoga, and any further individual services The Practice Inc. introduces from time to time. It does not apply to services provided by The Practice Wellness Inc.

7.1  Booking and payment. Practitioner-led sessions must be booked in advance through the platform. Payment is required at the time of booking unless otherwise agreed.

7.2  Intake and consent. You must complete the applicable intake form and waiver before your first session with the relevant practitioner.

7.3  Cancellation window. You may cancel or reschedule a practitioner-led session up to 24 hours before the scheduled appointment time without penalty. Where a session is cancelled or rescheduled within 24 hours of the scheduled appointment time, and the session is included in a membership, the session is forfeited and counted as used against your allocation for that membership month. Where the session is paid for individually, it is non-refundable.

7.4  No-show. If you do not attend a booked session and do not cancel in advance, the session is treated as a no-show. Where the session is included in a membership, the session is forfeited and counted as used against your allocation for that membership month. Where the session is paid for individually, it is charged at 100% of the session fee.

7.5  Late arrival. The session will still end at the scheduled time. Late arrival does not extend the session and does not qualify for a refund, credit, or return of a session allocation.

7.6  Repeated late cancellations or no-shows. Clients with repeated late cancellations or no-shows may be required to prepay for future sessions or may have booking access restricted.

7.7  Practitioner unavailability. If a practitioner is unavailable or The Practice Inc. needs to cancel a session, you will be offered a reschedule or refund.

8.  Meditation Pod and Vibration Bed

8.1  Booking and health screening. Device sessions must be booked in advance. You must complete the Device-Assisted Sessions Waiver and Health Screening before your first session, including disclosure of any contraindications.

8.2  Age restriction. You must be 18 years of age or older to use a Device unless accompanied by a parent or legal guardian who has signed the applicable waiver.

8.3  Cancellation window. Device sessions are subject to the same 12-hour Cancellation Window, Late Cancellation, and No-Show provisions as group classes, as set out in Sections 6.2 to 6.5.

8.4  Equipment care. You are responsible for using the Devices in accordance with The Practice Inc.’s instructions. You may be charged for damage caused by wilful misconduct or grossly negligent misuse.

9.  Retail and café

9.1  Retail returns. We do not offer cash refunds on retail purchases. Retail items may be exchanged or returned for store credit if requested within 14 days of purchase, unused and in original condition with valid proof of purchase. Final sale items include discounted and clearance items, opened or used products, hygienic, personal-care, beauty and skincare items, food, beverages, and gift cards.

9.2  Discounts and promotions. Discount codes must be applied at the time of purchase and cannot be added retroactively. Promotions are subject to the terms posted at the time of the promotion.

9.3  Café purchases. All café purchases are final sale. If we make an error with your order, please notify staff at the time of purchase so we can correct it.

9.4  Allergens. Clients with food allergies or dietary restrictions are responsible for reviewing ingredients and informing staff before ordering. The café cannot guarantee an allergen-free preparation environment.

10.  Events and workshops

10.1  Registration and payment. All events and workshops require advance registration. Full payment is required at the time of registration to secure your spot.

10.2  Cancellation window. Cancellations made more than 7 days before the event are eligible for account credit. Cancellations within 7 days are non-refundable and not eligible for credit.

10.3  Ticket transfers. Tickets are not automatically transferable. Transfer requests may be approved by The Practice Inc. before the event, subject to availability and event requirements.

10.4  Cancellation or rescheduling by The Practice Inc. If we cancel an event, registered clients will receive a full refund or, if preferred, an account credit. If we reschedule, registered clients may attend the new date or request a full refund or credit.

10.5  Minimum attendance. We may cancel, reschedule, or modify an event due to low registration, facilitator unavailability, safety concerns, or unforeseen circumstances. Affected clients will be notified.

11.  General disclaimers and limitation of liability

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. The Practice Inc. makes no representations or warranties of any kind, express or implied, regarding the Services, the Studio premises, the equipment, the qualifications or conduct of any individual contractor or participant, or the outcomes of participation.

To the maximum extent permitted by law, and subject always to your statutory rights under the Consumer Protection Act, 2002 (Ontario) and other applicable consumer-protection legislation, the aggregate liability of The Practice Inc. arising from or related to the Services or these Terms is limited to the amount actually paid by you to The Practice Inc. in the 12 months preceding the event giving rise to the claim. The Practice Inc. will not be liable for indirect, consequential, special, exemplary, or punitive damages.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from gross negligence, wilful misconduct, fraud, personal injury or death caused by negligence to the extent the law does not permit limitation, or liability under the Consumer Protection Act, 2002 (Ontario).

12.  Privacy and communications

Our collection, use, and disclosure of your personal information is governed by our Privacy Policy. Our marketing communications are subject to your consent under the Canadian Anti-Spam Legislation; you may unsubscribe at any time using the link in any marketing message.

13.  Changes to these Terms

We may update these Terms from time to time. The current version is identified by the Effective Date above. Material changes will be posted at least 30 days before they take effect, and where practicable we will notify active account holders by email. Continued use of the Services after the effective date of a change constitutes acceptance of the updated Terms.

14.  Disputes and governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. The parties attorn to the non-exclusive jurisdiction of the courts of Ontario. Nothing in this Section limits your statutory rights under Ontario consumer-protection legislation, including the right to commence proceedings in the place permitted by that legislation.

15.  Entire agreement, severability, and waiver

These Terms, together with our Privacy Policy and the specific terms presented at the time of booking or purchase, constitute the entire agreement between you and The Practice Inc. in respect of the Services. If any provision is held to be unenforceable, the remaining provisions remain in full force and effect.

No failure or delay by The Practice Inc. in enforcing any provision of these Terms is a waiver of that provision or of any other provision.
